THE JOB: DO RECRUITMENT ADVISORS is proud to represent his client, an international Holding company based in the City Center. In the role, you will ensure the company complies with its legal and regulatory obligations in Luxembourg and supports the Board of Directors in fulfilling its governance responsibilities. This role is central to corporate governance, statutory compliance, and board administration within a Luxembourg holding company environment. Key Responsibilities: Corporate Governance & Board Support: -Organise, prepare and attend board meetings, shareholder meetings, and committee meetings. -Draft, review, and maintain accurate minutes, agendas, and resolutions. -Advise the Board on corporate governance practices and ensure compliance with Luxembourg company law and regulations. -Maintain and update statutory registers (directors, shareholders, beneficial owners, etc.). Compliance & Regulatory -Ensure timely filing of annual accounts, tax filings, and other statutory returns with Luxembourg authorities (RCS, CSSF if applicable, etc.). -Monitor developments in Luxembourg corporate and company law and advise management of their implications. -Support KYC/AML compliance processes in coordination with legal and compliance teams. Entity Management: -Manage the corporate housekeeping of the holding company and its subsidiaries (if applicable). -Coordinate with external advisors, auditors, regulators, and notaries. -Draft and review corporate documentation (share transfers, capital increases, director appointments/resignations, etc.). Advisory: -Act as first point of contact for directors and shareholders on governance and company law matters. -Ensure proper record-keeping of corporate documents in line with legal retention rules. -Support transactions (M&A, restructuring, financing) with corporate documentation and governance oversight.
THE CANDIDATE PROFILE: -University degree in Law, Business Administration, Finance or related field; ICSA/CGI qualification (advantage). -2+ years' experience in a corporate secretary, legal officer, or paralegal role within Luxembourg (holding company, fiduciary, law firm, or Big 4 environment). -Solid knowledge of Luxembourg company law and corporate governance requirements. -Experience in Soparfi structures, cross-border transactions, and group holding administration. -Strong organisational and project management skills. -Excellent drafting and communication skills in English (French or Spanish an asset). -High attention to detail and accuracy. -Ability to liaise confidently with senior stakeholders, directors, and regulators. -Discretion and integrity in handling confidential information.
