Are you a ready to step into a pivotal role as General Counsel, serving as a trusted advisor to executive leadership and the governing board while ensuring all organizational activities are conducted in full compliance with applicable laws, regulations, contractual obligations, and operating policies? If so, we invite you to consider a high-impact leadership role as General Counsel for a quasi–state government agency serving the Commonwealth of Kentucky.
As General Counsel for KHESLC/KHEAA/ARC, you will provide strategic legal direction and oversight across all aspects of the agencies operations, including regulatory compliance, contractual matters, litigation management, and policy development, while ensuring alignment with applicable state and federal laws.
NOTE: This position will be required to work in our Frankfort and Louisville locations with some remote work capability.
Responsibilities include, but are not limited to, the following:
Provide legal advice and counsel to boards of directors, management and agency personnel, in support of operations of KHEAA/KHESLC/ARC.
Plan, coordinate and supervise, and direct legal & general compliance functions of KHEAA/ KHESLC/ARC and their related programs in both Kentucky and out-of-state as assigned by the COO.
Draft, review, and testify about regulations, legislation, contractual arrangements, policies, and other legal documents in front of the applicable regulatory bodies.
Make recommendations to the agencies' COO on legal and policy matters.
Provide legal direction and counsel regarding personnel and general employment law, including conducting internal investigations.
Provide advice regarding ethics issues.
Provide legal review of purchase of goods and services and of procurement and contract policies and procedures.
Recommend policy and procedures to conform to applicable laws and regulations. Reviews forms, policies, and procedures for compliance with applicable laws.
Handle or oversee preparation, trial, and any appeal of cases before state and federal courts, including bankruptcy courts, and administrative forums. Represents KHEAA/KHESLC/ARC in legal actions. Approves settlement of legal actions, consistent with agency procedures.
Coordinates work of, and assists, outside legal counsel as necessary.
Reviews and interprets applicable state and federal laws, regulations, policies, and rules; provides legal analysis and guidance on issues confronting KHEAA/KHESLC/ARC and their boards of directors on matters relating to programs/services administered by the organizations.
Participates in organizational planning and budget development. Monitors legal expenditures to ensure budgetary compliance.
Performs other duties as assigned.
Requirements
The ideal candidate for this position will be a professional leader with the following preferred qualifications:
Juris Doctorate or Bachelor of Law Degree with five years of legal experience required.
Must be licensed and must maintain current license to practice law in the Commonwealth of Kentucky.
Requires a thorough knowledge and understanding of a broad range of law, including government contracting, administrative law, bankruptcy law, commercial law and financial matters, consumer protection and collections law, litigation, employment law, or other area of practice appropriate to the duties of the position.
Demonstrated experience in managing legal services.
Duties are performed primarily in office. Some travel may be required
